Through this letter ("Letter"), an agreement is established between You and Hit Me Inc. ("Hit Me") in connection with your song and music video (the "Song") in order to grant Hit Me the authorization to present and offer the Song to brands, agencies, music supervisors for television and film production projects, commercial campaigns, among other potential interested parties, to possibly obtain synchronization licenses and/or use of these ("Purpose"). It is understood that the rights granted to Hit Me regarding the song will be non-exclusive in nature. Without limiting the foregoing, You authorize the inclusion and publication of the Song on Hit Me's YouTube channel. The term of this Letter shall be one (1) year from the date above ("Term"), subject to renewals for annual periods unless You or Hit Me notifies otherwise in writing (email shall suffice) with at least thirty (30) days' notice prior to the next anniversary. Likewise, You represent and warrant to Hit Me that You have the rights to grant such authorization over the Song for the Purpose and that it will not breach or violate any law or the rights of any third party. For clarification purposes, Hit Me shall not have the rights to manage and/or monetize the Song in any way except in the event of entering into an Opportunity (as defined below). In the event that during the Term of this Letter, Hit Me obtains and presents to You in writing (email shall suffice) a proposal for the marketing and/or exploitation of the Song by third parties ("Opportunities") and You, having reviewed and agreed to the terms of such Opportunity, choose to accept such Opportunity in writing (email shall suffice), in such case, as fair and due consideration, Hit Me shall be entitled to a commission equivalent to 50% of the gross proceeds generated in connection with such license/Opportunity (including, without limitation, the license for the publishing aspect and the license for the use of the master recording). Such commission shall be paid regardless of whether You accept such opportunity during or after the Term. By accepting and sending a song or the YouTube link, this Letter shall be binding between you and Hit Me and shall be governed exclusively by the laws of Florida with exclusive jurisdiction in the state and federal courts of Miami-Dade County, Florida. You have read and consulted with an independent attorney regarding the contents of this Document, as is your right, or have freely waived this right, and sign below with the intention of being legally bound.

Mediante esta carta (“Carta”) se establece el acuerdo entre Usted y Hit Me Inc. (“Hit Me”) en conexión con su canción y video música (la “Canción”) con el fin de cederle a Hit Me la autorización de presentar y ofrecer la Canción ante marcas, agencias, supervisores de música para proyectos de producción de televisión y películas, campanas comerciales, entre otros posibles interesados, para posiblemente obtener licencias de sincronización y/o uso de estas (“Propósito”). Se entiende que los derechos cedidos a Hit Me sobre la canción serán en carácter no – exclusivo. Sin limitar lo antepuesto, Usted autoriza la inclusión y publicación de la Canción en el canal de Youtube de Hit Me.El Plazo de esta Carta será de un (1) año a partir de la fecha antepuesta (“Plazo”) sujeto a renovaciones por periodos anuales al menos que Usted o Hit Me notifique lo contrario por medio escrito (email será suficiente) con al menos treinta (30) días de anticipación del siguiente aniversario. Al igual Usted representa y garantiza ante Hit Me que Usted cuenta con los derechos de ceder dicha autorización sobre la Canción con el fin de cumplir el Propósito y que este no incumplirá ni violará con ninguna ley ni con los derechos de algún tercero. Para propósitos de aclaración, Hit Me no tendrá los derechos de administrar y/o monetizar la Canción de ninguna forma excepto en el caso de celebrar una Oportunidad (según se define a continuación). En el evento de que durante el Plazo de esta Carta Hit Me obtenga y le presente a Usted por medio escrito (email será suficiente) una propuesta de comercialización y/o explotación de la Canción por parte de terceros (“Oportunidades”) y Usted, habiendo revisado y estando conforme con los términos de dicha Oportunidad, opte por aceptar dicha Oportunidad por escrito (email será suficiente), en tal caso como justa y debida consideración, Hit Me tendrá derecho a una comisión equivalente al 50% de los valores brutos que sean generados en conexión con dicha licencia / Oportunidad (incluyendo, sin limitar, la licencia por el aspecto editorial y la licencia de uso de la grabación maestra). Dicha comisión será pagada sin importar si Usted acepta dicha oportunidad durante o después del Plazo. Al aceptar y enviar una canción o el link de Youtube, esta Carta, será vinculante entre usted y Hit Me y será regida exclusivamente bajo las leyes de la Florida con fuero exclusivo en las cortes estatales y federales del condado de Miami Dade, Florida. Usted ha leído y consultado con un abogado independiente sobre los contenidos de este Documento, como es su derecho, o ha renunciado libremente a este, y firma a continuación con la intención de estar legalmente vinculado.
